Custom Product Terms

These Custom Product Terms apply to custom products, custom design work, customer-specific artwork, customer-specific packaging, special labelling, licensing requirements and other non-standard production requested by a customer. These terms apply in addition to Little & Wood's Wholesale Terms of Supply. If there is a conflict between these Custom Product Terms and the Wholesale Terms of Supply, these Custom Product Terms apply to the custom portion of the order.

1. Relationship to Wholesale Terms

These Custom Product Terms apply together with Little & Wood's Wholesale Terms of Supply and any written quotation, order confirmation, invoice or account agreement. Standard wholesale terms continue to apply unless changed by these Custom Product Terms or by a written quotation confirmed by Little & Wood.

2. Custom project acceptance

A custom project is not accepted until Little & Wood confirms the scope, commercial terms and production requirements in writing. Little & Wood may decline any custom project at its discretion, including projects that are not commercially viable, technically suitable, legally appropriate or consistent with the Little & Wood brand.

3. Custom design deposit

Custom design work begins after the customer approves the project scope and accepts liability for the US$500 Custom Design Deposit, unless Little & Wood agrees otherwise in writing. Payment is due after 90 days.

If the customer places the related production order within 90 days, the deposit will be waived against the first production invoice for that custom product.

If the customer cancels, delays, materially changes direction, does not provide required information or approvals, or does not place the related production order within 90 days, the deposit becomes non-refundable and is retained as payment for design, development, administration and scheduling work already performed.

4. Scope and revisions

The quoted design scope will identify the product concept, artwork, design work, packaging, materials, quantities, expected timing and any special requirements where applicable.

Reasonable design revisions may be included where stated in the quotation. Additional revisions, major changes, changes after approval, new concepts, additional SKUs, new artwork or changes to packaging may be charged separately.

5. Custom minimum order quantities

Custom products, special-order products and customer-specific projects may have different minimum order quantities from standard Little & Wood products. Custom MOQs will be confirmed by quotation or written approval before production begins.

6. Pricing and additional costs

Custom pricing is based on the project scope and may include design work, production complexity, materials, cutting time, engraving, etching, printing, packaging, labelling, royalties, licensing costs, hologram application, special handling, shipping and other project-specific requirements.

Prices exclude shipping, handling, taxes, duties, customer-specific packaging, royalty fees, licensing fees, special labels, hologram application and non-standard costs unless expressly included in the quotation.

Little & Wood may revise a quotation if the customer changes the scope, artwork, quantities, packaging, timing, delivery requirements or other project details.

7. Customer artwork and approvals

The customer is responsible for supplying accurate artwork, logos, trademarks, images, copy, spelling, product information, packaging information and brand requirements.

The customer confirms that it owns or has the right to use all artwork, logos, trademarks, copyrighted material, names, images, licensed material and other content supplied to Little & Wood.

The customer is responsible for checking all proofs carefully before approval, including artwork, spelling, colours, layout, dimensions, product details, packaging and legal or regulatory requirements.

8. Proof approval

Production will not begin until Little & Wood receives written approval of the design proof, specification and commercial quotation.

Approval may be given by email, written confirmation, signed proof, order confirmation or another written method accepted by Little & Wood.

Once a proof is approved, the customer is responsible for the approved details. Changes after approval may not be possible and may incur additional cost, delay or new minimum order requirements.

9. Production and lead times

Production and delivery timeframes for custom products are estimates unless Little & Wood gives a specific written guarantee. Lead times may depend on artwork approval, material availability, production scheduling, packaging, licensing, customer approvals, freight, customs, seasonal demand and other factors outside Little & Wood's reasonable control.

Little & Wood will use reasonable efforts to communicate material delays.

10. Packaging, labelling, royalties and special handling

Customer-specific packaging, special labelling, holograms, licensing, royalties, compliance marks, special inserts, special cartons, split shipments or other non-standard requirements may be charged separately.

If a third party requires royalty payments, licence fees, approval costs, hologram labels or special compliance steps, those costs may be passed on to the customer unless Little & Wood agrees otherwise in writing.

11. Cancellation and changes

Custom products, special-order products and approved production orders may not be cancelled once production, material purchasing, packaging, scheduling or other committed work has begun, unless Little & Wood agrees in writing.

If Little & Wood agrees to a cancellation or change, the customer remains responsible for costs already incurred, committed materials, design work, production work, packaging, third-party charges and any other non-recoverable costs.

12. Returns

Custom products and customer-specific products are not returnable unless faulty, damaged before risk passes to the customer, or otherwise required by law. Any claim must be notified promptly and supported with photos, order details and any other information reasonably requested by Little & Wood.

13. Intellectual property

Little & Wood retains ownership of its product designs, concepts, manufacturing methods, templates, artwork, production files, display concepts and other intellectual property unless a separate written agreement says otherwise.

Payment for custom design work or production does not transfer ownership of Little & Wood intellectual property. Customer-owned logos, trademarks and supplied artwork remain the customer's property.

Little & Wood may use knowledge, methods, production techniques, templates and general design learning developed through custom work in its business, provided it does not misuse customer-owned confidential artwork or trademarks.

14. Customer indemnity

The customer is responsible for any claim, cost, loss or expense arising from artwork, trademarks, logos, licensed material, instructions, packaging requirements or other content supplied by the customer, including claims for intellectual property infringement, licensing breaches or regulatory non-compliance.

15. Confidentiality

If a customer supplies confidential product, artwork, licensing or launch information, Little & Wood will use reasonable care to keep that information confidential and use it only for the custom project, unless disclosure is required by law or needed to perform the work.

16. Relationship to quote

If there is a conflict between these Custom Product Terms and a written quotation or order confirmation issued by Little & Wood, the written quotation or order confirmation applies to that order only.

17. Changes to these terms

Little & Wood may update these Custom Product Terms from time to time. The terms published when the custom project is accepted will apply to that project, unless Little & Wood agrees otherwise in writing.
