Wholesale Terms of Supply
These Wholesale Terms of Supply apply to wholesale orders accepted by Little & Wood for retailers and trade customers in the United States, unless Little & Wood agrees otherwise in writing. By placing an order with Little & Wood, the customer agrees to these terms. Custom products, promotions and special account arrangements may also be subject to additional terms.

1. Who These Terms Apply To
Wholesale orders are for approved retail, trade and B2B customers. Little & Wood may accept, decline or cancel any order at its discretion, including orders that do not meet minimums, contain errors, include unavailable products, or require unapproved terms.
2. Account Approval
Wholesale supply is available to approved trade customers only. Little & Wood may request business, resale, store, tax, reference or other information before approving or continuing an account.
3. Order Acceptance
Submitting an order does not mean it has been accepted. An order is accepted only when Little & Wood confirms it, issues an invoice, begins fulfilment, or otherwise confirms the order in writing.
4. Minimum Order Requirements
Opening wholesale orders require a minimum wholesale order value of US$500, excluding shipping, handling, taxes, displays, samples, custom design fees, royalties, licensing costs, custom packaging and other non-standard charges. Reorders require a minimum of 12 units. Products must be ordered in full-pack or half-pack quantities, generally multiples of 6 or 12. Custom or special-order products may have different minimums confirmed by quote. Little & Wood may accept smaller orders at its discretion.
5. Pricing
Prices are wholesale prices in US dollars unless stated otherwise. Prices exclude shipping, handling, taxes, duties, displays, samples, custom design fees, royalties, licensing costs, customer-specific packaging, special labelling, hologram application and other non-standard costs unless expressly included. Little & Wood may update prices, minimums, shipping charges and availability at any time.
6. Displays and Samples
Display stands and merchandising fixtures are charged separately unless a written promotion or account agreement says otherwise. Displays are supplied for use with Little & Wood products only. Little & Wood may include one product sample per SKU ordered with qualifying opening orders. Extra samples, replacement displays, custom displays and non-standard merchandising may be charged separately.
7. Shipping and Handling
A minimum shipping and handling charge of US$35 applies to all wholesale orders. Shipping and handling may be charged by quote, actual cost, standard percentage of invoice value, or written account arrangement. Hawaii, Alaska, rural or remote addresses, oversized shipments, rush freight, split shipments, special handling or customer-requested carriers may incur additional charges.
8. Delivery and Lead Times
Delivery and dispatch timeframes are estimates unless specifically guaranteed in writing. Lead times may vary due to production schedules, product availability, carrier delays, seasonal demand, customs, weather or events outside Little & Wood's reasonable control.
9. Risk of Loss and Carrier Claims
Unless otherwise agreed in writing, risk passes to the customer when goods are handed to the carrier. Customers should inspect deliveries promptly and report visible damage, shortages or delivery issues within 5 business days, with photos where applicable.
10. Payment Terms
Payment is due before or at fulfilment unless credit terms are approved in writing. Approved credit accounts may receive Net 30 terms after credit review. Little & Wood may withdraw or change credit terms at any time. Overdue accounts may result in order holds, suspension of supply, collection costs and lawful late payment charges.
11. Taxes
Prices exclude sales tax and similar taxes unless stated otherwise. Customers must provide valid resale or exemption certificates where applicable. Little & Wood may charge applicable taxes where required by law.
12. Changes, Cancellations and Returns
Orders may not be changed or cancelled once fulfilment or production has begun unless Little & Wood agrees in writing. Stock product returns require prior written approval and must be unused, resaleable and returned as instructed. Shipping, handling and special-order costs are not refundable unless agreed or required by law. Custom, special-order and customer-specific products are not returnable or cancellable except where faulty or agreed in writing.
13. Product Claims
Customers must inspect goods promptly. Claims for shortages, incorrect items, visible damage or order issues must be notified within 5 business days. Defect claims should be reported as soon as reasonably possible. Little & Wood may request photos, order details or return of goods before approving a remedy. Remedies may include replacement, credit, refund or another reasonable remedy, at Little & Wood's discretion and subject to law.
14. Customer Responsibilities
Customers must display, store, handle and sell Little & Wood products appropriately. Customers must not alter, relabel, repackage, misrepresent or misuse products without written approval, and must comply with applicable laws in their own sales channels.
15. Intellectual Property and Brand Use
Little & Wood owns or licenses its product designs, artwork, trademarks, images, packaging, display concepts and other intellectual property. Customers may use approved brand materials only to promote and sell genuine Little & Wood products. Customers must not copy, reproduce, manufacture, reverse engineer or commission similar products based on Little & Wood designs.
16. Online Resale and Marketplaces
Customers may sell through approved retail channels. Sales through third-party marketplaces, discount platforms, auction sites or unauthorised online channels may require prior written approval. Little & Wood may restrict supply where online selling damages the brand, causes confusion or conflicts with account agreements.
17. Liability
To the maximum extent permitted by law, Little & Wood is not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost revenue, business interruption, loss of goodwill or similar losses. Little & Wood's total liability for any claim is limited to the amount paid for the affected goods.
18. Force Majeure
Little & Wood is not responsible for delay or failure caused by events outside its reasonable control, including carrier delays, supply shortages, labour disruption, weather events, natural disasters, customs delays, government action, cyber incidents, equipment failure, power outages or other force majeure events.
19. Relationship to Other Terms
These terms apply with any written order confirmation, invoice, quotation or account agreement issued by Little & Wood. If there is a conflict, the written quotation or account agreement applies to that order only. Custom products are also subject to Little & Wood's Custom Product Terms.
20. Changes to These Terms
Little & Wood may update these terms from time to time. The terms published when an order is accepted apply to that order unless Little & Wood agrees otherwise in writing.
